General Terms and Conditions of Sale

Article 1 – Identification of the Service Provider
These General Terms and Conditions of Sale (GTCS) apply to all services offered by Nuria Studio, represented by Ms. Elodie Fontaine, sole proprietor, registered with URSSAF of Saint-Denis under number 800 728 487, located in Sainte-Clotilde.

Article 2 – Scope of Application
These GTCS govern the provision of services in visual identity, art direction, packaging design, and web design, concluded remotely between the Service Provider and its Clients, whether professionals or individuals.
Any order implies full and unconditional acceptance of these GTCS.
Article 3 – Pricing and Terms
Service prices are quoted in euros and specified in a personalized estimate provided to the Client.The fee includes two rounds of revisions per project stage. Any additional revisions will be charged at €75 excluding VAT per round.Additional costs (font or image licenses, software subscriptions, templates, plugins, hosting, or text copywriting) remain the Client’s responsibility unless otherwise stated in the estimate.
Article 4 – Orders and Modifications
Orders are confirmed upon signature or written approval of the estimate.Any modification after approval must be agreed upon in writing and may result in adjusted fees and/or deadlines.
Article 5 – Invoicing and Payment
Payments are made by bank transfer, according to the schedule defined in the estimate.Standard terms:50% upon order,25% during the project,25% before final delivery.In case of late payment:Late fees will apply at a rate of 2% per week of delay,
A fixed recovery fee of €40 per overdue invoice will be charged (in accordance with French law, Article L441-10 of the Commercial Code).If payment is overdue by more than 30 days, the project will be automatically suspended or canceled. Deliverables remain the exclusive property of the Service Provider until full payment has been made.
Article 6 – Deadlines, Feedback & Project Abandonment
The Client agrees to provide necessary information and feedback within reasonable timeframes.Delays exceeding 21 calendar days may incur an administrative fee of €100 (incl. tax).
If the Client is unresponsive for more than 6 consecutive weeks, the project will be deemed abandoned. Payments already made will remain due, and no refund will be issued.Restarting the project will require written approval and may involve additional fees or a new estimate.
Article 7 – Cancellation
If the Client cancels the project:
- Payments already made remain due,
- The Client must pay for any work already completed,
- No refunds will be issued, unless exceptionally agreed by the Service Provider.
Article 8 – Performance of Services
The Service Provider undertakes to respect the deadlines specified in the estimate, provided that the Client fulfills their obligations (providing content, timely feedback, payments).
Services are delivered in digital format only.
Article 9 – Intellectual Property
The Service Provider retains copyright on all creations in accordance with the French Intellectual Property Code.The Client is granted a non-exclusive commercial usage license for deliverables once full payment has been made.
Any reproduction, resale, or use outside the agreed scope requires prior written authorization.
Article 10 – Subjectivity of Design
The Client acknowledges that design is an artistic and creative discipline, inherently subjective.By commissioning the Service Provider, the Client confirms their trust in her expertise and artistic direction.Dissatisfaction based on personal taste cannot constitute grounds for a refund.
Article 11 – Portfolio Rights
Unless expressly opposed in writing, the Service Provider reserves the right to showcase the completed work for promotional purposes (website, social media, portfolio, etc.).
Article 12 – Legal Guarantees
In accordance with French law (articles L217-4 et seq. of the Consumer Code), the Service Provider must deliver services in conformity with the contract.
In case of non-conformity, the Client must notify the Service Provider in writing within a reasonable timeframe.
Article 13 – Right of Withdrawal
In compliance with articles L221-18 et seq. of the French Consumer Code, consumer Clients (non-professionals) benefit from a 14-day withdrawal period starting from the contract date, without justification or penalty.
However, under article L221-28, the right of withdrawal does not apply to:
- services fully performed before the end of the withdrawal period,
- services started with the Client’s prior express consent and explicit waiver of their right of withdrawal.
If the Client requests that work begin before the end of the 14-day period, they must provide written consent acknowledging the loss of this right once execution starts.If the right of withdrawal is exercised within the legal period (and not excluded), the Service Provider will refund payments within 14 days of notification.

Article 14 – Force Majeure
Neither Party shall be held liable for failure to perform due to events beyond their reasonable control, as defined in Article 1218 of the French Civil Code (including but not limited to: natural disasters, strikes, riots, war, pandemics, telecom breakdowns, or third-party failures).If such an event exceeds 30 calendar days, either Party may terminate the contract without penalty.
Article 15 – Governing Law and Jurisdiction
These GTCS are governed by French law. Any dispute relating to their interpretation or execution shall fall under the jurisdiction of the courts of Saint-Denis, Réunion Island, France.
